Terms of Service

Effective date: September 6, 2026

These terms are an agreement between you and FrostPeak Ventures LLC, a limited liability company registered in the State of Wyoming, United States (“we”, “us”, “our”), covering your use of Nekl.

By creating an account you confirm that you have read and agree to these terms and to our Privacy Policy. If you do not agree, do not create an account.

1. What Nekl is

Nekl is a subscription dashboard that runs in your web browser. It shows the time, the weather, your tasks, a focus timer, a quick-capture box, a calendar, and ambient sound. It is designed to be left open while you work.

We may add, change, or remove features. If we remove something you rely on, we will tell you in advance where we reasonably can.

2. Your account

  • You must be at least 18 years old to create an account. Nekl has no free tier, so every account requires a paid subscription.
  • You must give us a valid email address and confirm it before your account becomes active.
  • You are responsible for keeping your password secure and for everything that happens under your account.
  • One account is for one person. Please do not share your login.
  • Tell us at support@nekl.com if you believe someone else has accessed your account.

We may suspend or close an account that breaches these terms, that is used unlawfully, or that we reasonably believe presents a security risk. Where we do so and you have paid for a period you cannot now use, we will refund that unused portion unless the breach was serious.

3. Subscriptions, prices and billing

3.1 Plans

Nekl is available on two plans:

  • Monthly — 8.99 US dollars per month.
  • Annual — 85.00 US dollars per year.

All prices are in United States dollars. Both plans include every feature; there are no tiers.

3.2 No trial period

Nekl does not offer a trial period. Access requires an active subscription from the start. In its place we offer the refund period described in section 4.

3.3 Automatic renewal

Your subscription renews automatically. A monthly plan renews every month, and an annual plan renews every year, on the anniversary of your purchase, at the price then in effect, using the payment method you provided — until you cancel.

You may cancel at any time, and you do not need to give a reason. See section 5.

3.4 Payment

Payments are handled by Stripe. We do not receive or store your card details. By subscribing you authorise us, through Stripe, to charge your payment method for the recurring amount above.

If a payment fails, Stripe will retry it over a period of roughly two weeks. Your access continues during that time, and we will ask you to update your payment method. If payment is not received by the end of that period, your subscription ends and your access stops.

3.5 Price changes

We may change our prices. If we do, we will give you at least 30 days' notice by email before the change applies to your subscription, and the new price will only take effect at your next renewal. If you do not want to pay the new price, you may cancel before it takes effect.

3.6 Taxes

Prices shown exclude any sales tax, VAT, GST, or similar tax that may apply where you live. Where we are required to collect such tax, it will be added at checkout and shown before you pay. You are responsible for any other taxes arising from your use of Nekl.

4. Refunds — our 7-day guarantee

If Nekl is not right for you, contact us within 7 days of your payment and we will refund it in full. You do not need to explain why.

  • The 7 days run from the date of the payment you want refunded.
  • This applies to your first payment on a plan, and to each renewal payment.
  • To request a refund, email support@nekl.com from the address on your account.
  • Refunds are returned to the payment method you used and typically appear within 5 to 10 business days, depending on your bank.
  • Once refunded, your subscription ends and your access stops.

4.1 Right of withdrawal (customers in the United Kingdom and European Union)

If you live in the United Kingdom or the European Union, you have a legal right to cancel this contract within 14 days of the day it is made, without giving a reason. This right is in addition to the 7-day money-back guarantee described above. Where both apply, you may rely on whichever is more favourable to you.

Nekl becomes available to you as soon as your payment is taken, which means you may begin using it before the 14 days have passed. If you withdraw within the 14 days, we will refund the full amount you paid, with no deduction for the period during which the service was available to you.

To withdraw, tell us at support@nekl.com before the 14 days end. A clear statement is enough and no particular form of words is required. We will make the refund within 14 days of being told of your decision, using the same payment method you used to pay.

5. Cancellation

You may cancel at any time from the billing page in your account, or by emailing support@nekl.com.

  • Cancelling stops the next renewal. It does not end your current period.
  • Your access continues until the end of the period you have already paid for.
  • We do not pro-rate or refund a partly used period, except under the guarantee in section 4 or where the law requires it.
  • Your data is not deleted when you cancel. If you subscribe again, it will be where you left it.

6. Your content

You keep ownership of everything you put into Nekl — your tasks, your captures, your settings. We do not claim any rights over it.

You grant us only the limited permission needed to run the service: to store your content, to display it back to you, to back it up, and to transmit it between your devices and our servers. This permission ends when you delete the content or your account.

You are responsible for what you store. Please do not use Nekl to store anything unlawful, and please do not store passwords, financial account details, medical records, or similarly sensitive information — Nekl is not designed or secured as a vault for that kind of material. See our Privacy Policy, section 8.

7. Acceptable use

Please do not:

  • Use Nekl for anything unlawful, or to store or transmit unlawful material.
  • Attempt to access another user's account or data.
  • Attempt to bypass payment, access controls, or usage limits.
  • Probe, scan, or test the security of our systems without our written permission.
  • Make automated requests to our servers beyond ordinary use of the product, or otherwise place an unreasonable load on the service.
  • Copy, resell, sublicense, or redistribute Nekl or any part of it.
  • Reverse engineer or attempt to derive our source code, except to the extent the law permits regardless of this restriction.
  • Remove or obscure any notice of ownership.

If you find a security vulnerability, please tell us at support@nekl.com rather than exploiting it. We will not pursue anyone who reports a genuine issue responsibly and does not access other people's data.

8. Our intellectual property

Nekl, including its software, design, and branding, belongs to FrostPeak Ventures LLC and is protected by copyright and other laws. Your subscription gives you a personal, non-exclusive, non-transferable right to use Nekl while your subscription is active. It gives you no other rights.

9. Third-party services and content

Nekl displays information from third parties, including weather data supplied by WeatherAPI.com. That information is provided as-is. We do not guarantee that it is accurate, complete, or current, and you should not rely on it for any decision where accuracy matters — including travel, safety, health, or financial decisions.

Nekl also depends on services we do not control, including our hosting, database, and payment providers. Their failures may affect Nekl, and section 11 applies.

10. Availability

We aim to keep Nekl available and working, but we do not promise any particular level of uptime. The service may be unavailable during maintenance, during failures at our providers, or for reasons outside our control.

We take reasonable care to keep your data safe, but you remain responsible for keeping your own copies of anything you cannot afford to lose.

11. Disclaimers and limitation of liability

Nekl is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties not expressly stated in these terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law:

  • We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption.
  • Our total liability to you for any claim arising out of or relating to Nekl is limited to the amount you paid us in the 12 months before the event giving rise to the claim.

Nothing in these terms limits liability that cannot be limited by law — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any right you have as a consumer that cannot be excluded. If you are a consumer in the United Kingdom or European Union, your statutory rights are unaffected by this section.

12. Indemnity

You agree to indemnify us against any claim, loss, or expense arising from your breach of these terms, your misuse of Nekl, or content you store in Nekl that infringes someone else's rights or breaks the law. This does not apply to the extent the claim arises from our own breach or negligence.

13. Ending this agreement

You can close your account at any time from your Account page. If you have a subscription, it is cancelled at the same time.

We may end this agreement, with reasonable notice where practicable, if you breach these terms, if we are required to by law, or if we discontinue Nekl. If we discontinue Nekl, we will give you reasonable notice and refund any period you have paid for but cannot use.

On termination, your access ends, and your data is deleted in accordance with our Privacy Policy. Sections 6, 8, 11, 12, and 14 survive.

14. Governing law and disputes

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws rules. The courts of the State of Wyoming have jurisdiction over any dispute.

If you are a consumer, this does not deprive you of the protection of the mandatory laws of the country where you live, and you may also be able to bring proceedings in your local courts.

Before starting formal proceedings, please contact us at support@nekl.com. Most problems can be resolved quickly.

15. General

  • Changes. We may update these terms. If a change materially affects your rights we will notify you and, where required, ask you to accept the updated terms before you continue using Nekl. The effective date at the top always reflects the current version.
  • Entire agreement. These terms and the Privacy Policy are the whole agreement between us about Nekl.
  • Severability. If any part of these terms is found unenforceable, the rest continues to apply.
  • No waiver. If we do not enforce a right, we do not give it up.
  • Assignment. You may not transfer your account or these terms to anyone else. We may transfer them to a successor if our business is sold, on notice to you.
  • Force majeure. Neither of us is liable for a failure caused by events beyond reasonable control.
